Terms and conditions

Last updated: 30 October 2026

These terms apply to every service Ad Clarity provides, whether you buy it on this website or pay an invoice. By paying, you confirm you have read and accepted them.

1. About these terms

1.1 Who we are. Ad Clarity is a trading name of Ad Clarity Ltd, a company registered in England and Wales (company number 17449319), registered office 4 Augusta Close, Southampton, SO32 2SS. Contact: hello@adclarity.co.uk.

1.2 Definitions. "We", "us" and "Ad Clarity" mean Ad Clarity Ltd. "You" means the business buying the services. "Services" means the work set out in your order, proposal or invoice, whether a one off project, a call, a membership or ongoing monthly management. "Start Date" means the later of the date you pay and the date we receive everything listed in the onboarding form.

1.3 For businesses. Our services are for businesses. By buying, you confirm you are buying for your business and not as a consumer.

1.4 Order of priority. If a written proposal or email from us conflicts with these terms, the proposal wins for that point only.

1.5 Changes. We may update these terms. For one off Services, the version in force on the day you pay applies. For monthly management and the Insider membership, we will give you 30 days notice of any change.

2. Services and scope

You get exactly what your order, proposal or invoice lists, nothing more, unless we agree extra work in writing.

2.1 Scope. The service description on this website, or your proposal or invoice, sets out the deliverables, timeline and, for monthly management, what is included each month.

2.2 Not included unless stated: ad spend, product photography or video, website development, paid apps or software, and work on platforms other than those named.

2.3 Extra work. Anything outside scope will be quoted separately. We start it only once you accept the quote and pay.

2.4 Revisions. Each deliverable includes one round of revisions, requested within 5 working days of delivery. After that, the deliverable is treated as approved.

3. Fees and payment

All fees are paid in advance, before the work they cover starts: by card through our website checkout, or by bank transfer if we invoice you.

3.1 One off Services. Paid in full before any work starts. Your place is confirmed only when the full fee has been paid.

3.2 Monthly management. Paid monthly in advance. If you start through our website checkout, your card is charged on the same date each month. If we invoice you, payment is due by the 1st of each month. If payment is late, work pauses until it arrives, and we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

3.3 Insider membership. Paid monthly in advance by card from the day you join, and renews each month until you cancel (see 6.4). If you buy Inbox Clarity with three months of Insider, those three months are included in that one-off price and nothing more is charged. Before they end, we'll email you a link to stay on at the usual monthly price (currently £40). If you don't join, your Insider access ends when the three months are up.

3.4 What payment means. Paying confirms you accept these terms and the scope in your order or proposal. Keep your order confirmation email or payment reference; it is your proof of order.

3.5 Price changes. We may change monthly fees, including the membership, with 30 days written notice. One off fees are fixed once paid.

3.6 VAT. Fees are not subject to VAT as we are not VAT registered.

3.7 Bank charges. If you pay by bank transfer, any fees your bank charges to send the payment are yours to cover.

3.8 Payment disputes. If you are unhappy, you agree to raise it with us in writing first and give us 14 days to respond (see section 6). Opening a dispute with your bank or card provider without doing so is a breach of these terms.

4. Your responsibilities and delays

The timeline only runs while we have what we need from you; delays on your side pause it and, if long enough, close one off work.

4.1 Onboarding. Within 7 days of paying, you must complete the onboarding form and provide everything it lists, including access to Meta Business Manager, your ad account, Shopify (or your store platform), Klaviyo, brand assets, images and product information.

4.2 Responses. You agree to reply to requests for information, approvals or feedback within 3 working days.

4.3 Pausing. If anything we need is late, the timeline pauses until it arrives. Delivery dates move back by at least the length of the delay, subject to our availability.

4.4 Inactivity. If we chase you twice in writing and hear nothing for 30 days, any unused sessions or deliverables expire. One off Services are then treated as complete, no refund is due, and restarting needs a new booking. For monthly management, fees remain payable during any period of inactivity.

4.5 Expiry. One off work must be completed within 3 months of payment. Unused sessions or deliverables after that date are forfeited unless we agree otherwise in writing.

4.6 Accuracy. You are responsible for the accuracy of the information and materials you give us, and for having the rights to use them.

4.7 Planned absence. We may pause work for holidays or planned leave. We will give you at least 14 days written notice and extend your timeline by the same period.

5. Timeline and delivery

Timelines start on the Start Date, not the payment date.

5.1 Delivery dates. Your order or proposal sets out the timeline for one off work and the monthly schedule for ongoing management.

5.2 Sessions and calls. You may reschedule with at least 12 hours' notice. A session missed without notice counts as delivered.

5.3 Approval. Ads and emails are sent to you for approval before going live.

5.4 Reporting. For monthly management, we send a monthly report covering performance and next steps.

5.5 Completion. One off Services are complete when all deliverables have been handed over or all sessions have taken place, or when 4.4 or 4.5 applies.

5.6 Access afterwards. When the Services end, we remove our access to your accounts within 7 days unless you ask us to keep it for further paid work.

6. Cancellations, refunds and complaints

One off fees are refundable only before work starts; monthly management ends on written notice after the minimum term; the Insider membership can be cancelled at any time.

6.1 One off Services, before the Start Date. If you cancel in writing, we refund the fee minus an admin charge of £50.

6.2 One off Services, after the Start Date. Once any work has begun, the fee is non refundable. This includes audit and planning work you may not see directly.

6.3 Monthly management. There is a minimum term of 3 months. After that, either side may end it with 30 days written notice. Fees for the notice period are payable, and months already paid are non refundable. If you started through our website checkout, please give notice by email: cancelling the card payment yourself doesn’t end the minimum term or the notice period.

6.4 Insider membership. You can cancel at any time from your account or by emailing us. Cancelling stops future payments, and you keep access until the end of the month you have paid for. Months already paid for are non refundable.

6.5 If we cancel. If we cannot deliver for reasons on our side, we refund any fees paid for work not yet delivered.

6.6 Complaints. Email us with details of the issue. We will acknowledge within 3 working days and aim to resolve within 14 days. Where we agree something was not delivered as described, we will first put it right; if we cannot, we will offer a partial refund proportionate to what was not delivered.

7. Ad spend, results and platforms

We are paid for the work, not for a guaranteed outcome.

7.1 Ad spend. You pay Meta directly for all advertising, using your own payment method. We never hold or spend your money on ads.

7.2 No guaranteed results. Performance depends on your product, pricing, offer, website, stock, season and competition, as well as our work. We do not guarantee sales, ROAS, revenue, open rates or any other figure.

7.3 Third party platforms. Meta, Klaviyo, Shopify and other platforms set their own rules and can change them at any time. We are not liable for ad rejections, account restrictions, bans, outages, algorithm changes or deliverability issues caused by those platforms or by how your accounts were used before we started.

7.4 Your approval. You approve ads and emails before they go live, and you are responsible for the claims they make about your products, including legal compliance for your sector.

7.5 Ownership of accounts. Your ad accounts, pages, pixels, store and Klaviyo account stay yours at all times.

8. Legal terms

8.1 Intellectual property. Once paid in full, you own the deliverables made for you: ad copy, creatives, flows and email content. We keep ownership of our templates, frameworks, training materials and know how, and grant you a licence to use them within your business.

8.2 Portfolio. We may mention you as a client and share anonymised results. We will ask before naming your brand alongside specific figures.

8.3 Confidentiality. Each side keeps the other's confidential information private, during and after the Services.

8.4 Data protection. Where we access your customer data (for example in Klaviyo or Shopify), you are the data controller and we act as your processor under UK GDPR. We process it only to deliver the Services, keep it secure, do not download or share it, and give up access when the Services end. You are responsible for having a lawful basis for your marketing, including consent for email. Our privacy policy explains how we handle your own personal information.

8.5 Liability. Our total liability to you is limited to the fees you paid us in the 3 months before the claim arose. We are not liable for lost profits, lost sales, lost data or indirect losses. Nothing here limits liability that cannot legally be limited, such as for fraud.

8.6 Circumstances outside our control. Neither side is liable for delays caused by events outside its reasonable control, such as illness, platform outages or internet failure. Timelines extend accordingly.

8.7 Ending the agreement. Either side may end it by written notice if the other seriously breaches these terms and does not fix the breach within 14 days of being told.

8.8 Whole agreement. These terms, your order or invoice and any written proposal form the whole agreement between us.

8.9 Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
